These Terms and Conditions (“Terms”) govern the relationship between Firefly Creative (“Developer,” “we,” “us”) and the Client (“you”) regarding any web development, design, or consulting services provided.
1. Project Initiation & Estimates
- Quotes: All quotes are valid for 30 days from the date of issue.
- Deposit: A non-refundable deposit of [e.g., 50%] is required before any work commences.
- Scope: Any work requested outside the original project brief will be treated as a “Change Request” and may incur additional fees.
2. Client Responsibilities
For us to meet deadlines, the Client agrees to:
- Provide all necessary content (copy, images, logos) in a timely manner.
- Provide access to relevant hosting, domains, or third-party APIs.
- Delays: If a project is delayed by more than [e.g., 14 days] due to lack of client feedback or materials, we reserve the right to invoice for work completed to date and pause the project.
3. Payment Terms
- Final Payment: The remaining balance is due upon project completion, prior to the website going “live” or the transfer of final source files.
- Late Payments: Payments not received within 7 days of the invoice date may result in a suspension of services or a late fee of [e.g., 5%] per month.
- Third-Party Costs: The Client is responsible for all third-party costs (e.g., hosting, premium plugins, domain registration).
4. Intellectual Property & Ownership
- Ownership: Upon receipt of full payment, the ownership of the final website frontend and custom code is transferred to the Client.
- Developer Tools: We retain ownership of any pre-existing code, libraries, or tools used to build the site.
- Portfolio: Unless otherwise agreed in writing, Firefly Creative retains the right to display the completed project in our professional portfolio.
5. Development & Testing
- Browser Compatibility: We develop for the latest versions of major browsers (Chrome, Firefox, Safari, Edge). We do not guarantee support for outdated browsers (e.g., Internet Explorer).
- Bugs: We provide a [e.g., 30-day] post-launch bug-fix period. This covers errors in our code but does not cover issues caused by client interference or third-party updates.
6. Liability & Indemnity
- Third-Party Services: Firefly Creative is not liable for service interruptions caused by third-party hosting, API changes, or plugin updates.
- Data Loss: While we take precautions, the Client is ultimately responsible for maintaining backups of their data once the project is handed over.
- Maximum Liability: Our total liability for any claim shall not exceed the total amount paid by the Client for the specific project in question.
7. Termination
- Either party may terminate the agreement with [e.g., 7 days] written notice.
- Upon termination, the Client will be invoiced for all hours worked up to the point of cancellation.
8. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the South African courts.
